Service Scope & Client Terms

This document defines the scope of services provided by The Superyacht Optical (TSYO) under its tourism and affiliate model, outlining client expectations, operational boundaries, and service limitations.

 

As Per Tourism Division:

 

1. Service Definition

  • TSYO operates as a curation and referral platform, connecting clients with verified third-party suppliers (DMCs, tour operators, and affiliates).

  • TSYO does not act as a direct travel agent or booking intermediary. All bookings are finalized directly between clients and third-party providers.

  • Consultations (£49) and itinerary plans (£100) are advisory and digital services intended to curate tailored experiences and connect clients with trusted partners.

2. Client Acknowledgment

  • Clients acknowledge that all travel, accommodation, and activity bookings are handled through external third-party partners.

  • TSYO assumes no liability for the performance, availability, or quality of third-party services or products.

3. Service Inclusions

  • Destination curation and supplier matching.

  • Personalized itinerary design through digital planning tools.

  • Referral introductions to third-party providers and affiliate offers.

 

4. Service Exclusions

  • Direct handling of payments between clients and suppliers.

  • Liability for cancellations, delays, damages, or disruptions caused by third-party providers or external circumstances.

 

5. Refund & Payment Terms

  • All payments made to TSYO are non-refundable.

  • The consultation fee covers a live advisory session and is non-refundable under all circumstances.

  • The itinerary fee covers a digital itinerary product, which, once delivered electronically, is not eligible for refunds under UK consumer law exemptions for digital goods.

  • TSYO does not offer refunds, credits, or exchanges for any consultation, itinerary, or donation.

 

6. Conservation Partnerships & Charitable Contributions

  • As part of TSYO’s sustainability initiative, a portion of every itinerary fee is donated to verified conservation partners, supporting marine and environmental causes such as coral restoration, reforestation, and ocean clean-ups.

  • Clients may select their preferred cause during the consultation phase.

  • TSYO facilitates these donations on behalf of clients but does not operate as a registered charity.

  • Once processed, charitable contributions are non-refundable and are managed in accordance with TSYO’s Conservation Contribution Policy (available upon request).

  • TSYO ensures all conservation partners are independently verified and aligned with measurable environmental outcomes.

 

7. Confirmation & Acceptance

By confirming a consultation or itinerary with TSYO, clients acknowledge and accept:

  • The limits of TSYO’s role as a curation and referral facilitator.

  • That all payments made to TSYO are final and non-refundable.

  • That a portion of each itinerary supports verified conservation projects.

 

8. Governing Law & Arbitration

All agreements, transactions, and disputes arising under or in connection with The Superyacht Optical and its subsidiaries (including TSYO Media) shall be governed by and construed in accordance with the laws of England and Wales.

  • Any dispute, claim, or controversy arising out of or relating to these Terms — including the validity, breach, or termination thereof — shall be finally resolved by binding arbitration in the United Kingdom.

  • Arbitration shall be conducted under the rules of the London Court of International Arbitration (LCIA) or an equivalent body agreed by both parties.

  • The language of arbitration shall be English, and the seat of arbitration shall be London, United Kingdom.

  • The decision of the arbitrator(s) shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

  • By engaging TSYO’s services, the client agrees to waive any right to participate in class or group actions and to resolve all disputes individually through arbitration.

  2. Local Partner Compliance Clause

  • TSYO collaborates only with partners, suppliers, and advertisers who operate in accordance with the laws and regulations of their respective jurisdictions.

  • All partners are responsible for maintaining valid business licenses, insurance, and regulatory compliance as required by their local authorities.

  • TSYO assumes no responsibility for a partner’s failure to meet such legal obligations and acts solely as a referrer, publisher, or curator.

  • TSYO reserves the right to suspend or terminate any partnership found to be in breach of local laws or ethical standards.

  2. Offer Validity & Partner Availability

TSYO shall not be liable for the withdrawal, modification, or expiry of partner offers, affiliate discounts, or accommodation availability after the Offer Validity Period has lapsed

  • The Superyacht Optical (TSYO) curates travel itineraries and experiences based on live availability and current partner offers at the time of creation.

  • Prices, offers, and partner availability (including hotels, tours, and transport providers) are subject to change without notice and are not guaranteed beyond the validity period stated in the client’s itinerary.

  • Unless otherwise specified, all itineraries and partner offers are valid for 30 days from the date of delivery (“Offer Validity Period”).

  • Clients acknowledge that if bookings are not made within the Offer Validity Period, TSYO cannot guarantee that the same rates, rooms, or experiences will remain available.

  • Affiliate links and promotional offers may expire automatically after the validity period due to partner or supplier policies.

  • TSYO shall not be held responsible for any loss of availability, change in price, or modification of partner terms occurring after the Offer Validity Period expires.

 

 

1. Liability Limits, Refunds, and Compensation Policy

 

Purpose

This document outlines TSYO’s limitations of liability, refund conditions, and compensation boundaries applicable to all services and digital products.

 

Liability Scope

Preventative Safety & Emergency Recommendations:

  • TSYO provides guidance and recommendations for local emergency services, transport options, and safety response providers; however, these recommendations are advisory only.

  • While we promote vetted and reliable partners, TSYO does not act as an emergency response or crisis management service.

  • Clients are responsible for maintaining personal travel insurance, medical coverage, and adherence to local safety laws.

Supplier Cancellations and Liability:

  • TSYO is not liable for delays, cancellations, or service deficiencies caused by affiliates, tour operators, or DMCs.

  • All cancellations, amendments, or service failures are governed by the individual supplier’s or operator’s terms and conditions and must be held fully responsible for such.

  • Liability for cancellations, refunds, or disruptions rests solely with the supplier or third-party provider.

  • TSYO does not assume responsibility for supplier decisions, financial outcomes, or operational failures related to their services.

  • TSYO’s responsibility ends upon the referral or introduction of a client to a third-party provider.

Public Liability & Indemnity Protection:

  • TSYO holds an active Public Liability and Professional Indemnity Insurance Policy, designed solely to protect against unforeseen legal actions arising from digital service provision.

  • This policy does not transfer or imply acceptance of liability for physical incidents, accidents, or supplier negligence.

 

2. Client Safety & Compliance

  • Clients are solely responsible for ensuring valid travel documents, insurance, and compliance with local travel laws.

  • TSYO may offer general guidance but cannot guarantee the accuracy or completeness of regulatory advice.

 

3. Refund Policy

  • TSYO enforces a strict no-refund policy for all consultations, itineraries, and donations.

  • The consultation fee compensates the assigned agent for time and advisory service, which is rendered immediately upon delivery.

  • The itinerary fee covers the creation of a custom digital itinerary, which constitutes a non-returnable product once delivered.

  • Charitable contributions made via TSYO’s Conservation Partnerships are processed upon payment and cannot be refunded or reversed.

  • No partial, pro-rata, or credit-based refunds are available under any circumstances.

 

4. Affiliate Sales & Commissions

  • TSYO earns commissions through affiliate links and partnerships. These commissions are not added to client costs.

  • All affiliate purchases and bookings are governed by the supplier’s terms and conditions, not TSYO’s.

  • Any disputes regarding supplier refunds or performance must be directed to the provider concerned.

 

5. Limitation of Liability

  • TSYO’s maximum aggregate liability to any client shall not exceed the total amount paid for the consultation or itinerary service.

  • TSYO is not responsible for indirect or consequential losses, including travel disruptions, missed connections, or dissatisfaction with third-party services.

  • TSYO is not liable for the outcome or impact of charitable donations once transferred to external conservation organizations.

3. Data Privacy & Third-Party Platform Usage Policy

Purpose

To ensure compliance with UK GDPR and outline how TSYO collects, stores, and manages client data, including limited sharing with third-party affiliates and conservation partners.

 

1. Data Collection & Use

  • TSYO collects client data solely for operational and communication purposes, including itinerary creation, consultation scheduling, payment processing, and feedback follow-ups.

  • Collected data may include client name, contact details, preferences, itinerary content, and chosen conservation cause.

 

2. Third-Party Integrations

  • TSYO utilizes secure, GDPR-compliant third-party platforms, for:

    • Itinerary creation and digital travel pack delivery.

    • CRM management and partner tracking.

    • Automation and workflow synchronization.

    • Invoicing and payment processing.

  • These systems are used solely for operational efficiency and data accuracy.

 

3. Data Sharing

  • TSYO may share minimal client information (first name, region, and selected conservation cause) with verified conservation partners for donation verification or reporting purposes.

  • No financial or payment details are ever shared externally.

  • TSYO will never sell, lease, or distribute client data to unauthorized entities.

 

4. Data Retention

  • Client records are securely stored for 24 months following itinerary completion unless a deletion request is submitted.

  • Clients may request removal of their data at any time by contacting Enquiries@thesuperyachtoptical.com.

 

5. Refund & Transaction Data

  • All financial data collected is tied to non-refundable transactions.

  • Clients are informed prior to payment that all consultations, itineraries, and donations are non-refundable digital and service-based products.

  • TSYO retains payment confirmation records strictly for accounting, compliance, and audit purposes.

 

6. Consent & Acknowledgment

By using TSYO’s services, clients consent to:

  • The collection and processing of their data on GDPR-compliant systems.

  • The limited sharing of relevant information with verified partners for operational and conservation purposes.

  • The understanding that all transactions with TSYO are non-refundable and involve digital service delivery.

It outlines the terms governing how TSYO Media collaborates with partners, brands, and advertisers for sponsored content, media distribution, and platform visibility.

As Per Media Division

 

1. Service Definition

  • TSYO Media functions as a content and media distribution platform, providing exposure through its owned channels, including the Optical Nautique magazine, TSYO social media pages, website, and digital publications.

  • TSYO Media creates, curates, and distributes content on behalf of clients or partners for the purpose of promotion, advertising, and brand collaboration.

  • What TSYO Media sells is the service of media exposure—including advertising space, creative content production, and distribution placement across TSYO’s owned media platforms.

  • All services are executed under a media collaboration or advertising agreement, defining the deliverables, duration, and scope of exposure.


2. Client Acknowledgment

  • Clients acknowledge that TSYO Media sells media exposure services, not tangible goods or guaranteed performance outcomes (e.g., reach, engagement, or conversions).

  • TSYO Media acts as a publisher and distributor, not as a reseller or agent of third-party content platforms.

  • Once content has been curated, produced, or published, it is considered delivered in full and constitutes a completed service.


3. Service Inclusions

  • Media kit packages and advertising placements.

  • Sponsored article publication in Optical Nautique.

  • Social media post distribution via TSYO channels.

  • Partner directory and brand feature listings.

  • Optional creative design and copywriting assistance.


4. Service Exclusions

  • TSYO Media does not guarantee specific audience reach, engagement metrics, or sales conversions.

  • No exclusivity is implied unless explicitly stated in a signed agreement.

  • TSYO Media is not responsible for third-party algorithm changes, social media visibility fluctuations, or external publishing platform performance.


5. Payment & Refund Policy

  • All TSYO Media services are non-refundable.

  • Once a media agreement, placement, or content order is confirmed and payment received, the transaction is considered final.

  • The non-refundable fee covers the cost of creative time, platform access, and media space allocation.

  • TSYO Media does not issue refunds, credits, or cancellations for any media kit, advertising slot, or publication.

  • Any failure by a client to provide required materials (e.g., images, copy, brand assets) by the specified deadline does not entitle them to a refund or postponement.


6. Conservation Partnerships & Charitable Contributions

  • A portion of all media kit and advertising revenue contributes to TSYO’s verified conservation partners, supporting marine and environmental initiatives.

  • Contributions are facilitated on behalf of TSYO Media clients as part of the company’s corporate social responsibility program.

  • Donations are non-refundable and processed in accordance with TSYO’s Conservation Contribution Policy.

  • TSYO Media is not a registered charity and does not accept direct donations from clients; it simply allocates a portion of its own revenue.


7. Confirmation & Acceptance

By commissioning media services from TSYO Media, clients agree that:

  • All payments are final and non-refundable.

  • TSYO Media’s role is limited to curation, creative execution, and distribution.

  • Content exposure is provided on a best-effort basis under industry norms.

  • A portion of proceeds supports environmental conservation.

  • TSYO’s conservation partners are independent organizations; TSYO Media is not responsible for how charitable contributions are used after transfer.


2. Refund Policy

  • All payments to TSYO Media are strictly non-refundable.

  • Fees paid for content creation, curation, or media exposure are final and cover the time, creative labor, and allocation of media space.

  • Once content has been produced or published, the service is considered fully delivered.

  • Non-delivery caused by client delays, missing materials, or approval failure does not qualify for refunds or postponements.

  • No refunds, credits, or replacements are offered for charitable contributions associated with the service.


3. Client Obligations

  • Clients must provide all required content assets (e.g., text, logos, imagery) within the specified time frame.

  • TSYO Media reserves the right to modify or reject content that violates brand or ethical standards.

  • Late submission by clients may result in loss of publication slot without refund.


4. Limitation of Liability

  • TSYO Media’s total liability shall not exceed the total amount paid for the contracted service.

  • TSYO Media is not responsible for indirect or consequential losses, including missed marketing opportunities, reputation impact, or digital downtime.

  • Once distributed, content may be indexed, cached, or shared by third parties beyond TSYO’s control. TSYO Media bears no responsibility for third-party republication.

To ensure that TSYO Media’s handling of client data, content assets, and publication materials complies with UK GDPR standards.

1. Data Collection & Use

  • TSYO Media collects only the data required to execute content and media distribution services.

  • This includes client contact details, brand information, creative materials, and signed agreements.

  • Data is used exclusively for internal operations, billing, and publication coordination.


2. Third-Party Tools & Integrations

  • TSYO Media uses secure, GDPR-compliant platforms for:

    • Client CRM and campaign tracking.

    • Creative production.

    • Content publication.

    • Invoicing and payment processing.

  • No client data is shared outside operational use.


3. Data Sharing

  • Limited client information (e.g., brand name and campaign title) may be referenced in TSYO’s own publications or case studies for portfolio purposes, unless otherwise agreed in writing.

  • TSYO Media does not share client data with third parties except where necessary for publication delivery.

  • Client information is never sold, leased, or shared for unrelated commercial purposes.


4. Data Retention

  • All client data and creative files are retained securely for 24 months following the conclusion of the media contract.

  • Clients may request data deletion at any time via privacy@thesuperyachtoptical.com.


5. Payment & Refund Data

  • Payment data is collected solely for processing non-refundable transactions.

  • Once a media kit, sponsored article, or advertising package is purchased, the payment is final.

  • No credit or refunds are supported.


6. Consent & Acknowledgment

By purchasing media services from TSYO Media, clients consent to:

  • The collection and use of their data under GDPR standards.

  • The use of provided materials for the agreed promotional campaign.

  • The understanding that all payments are final and non-refundable.
